Vascan — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vascan platform and services operated by Vascan Technology Limited ("Vascan", "we", "us", or "our").
These Terms apply to all Vascan products and services, including but not limited to:
- Vascan Shop (art discovery and commerce)
- Vascan for Business (business profiles, programme/event presentation and tools)
- Vascan for Cre8ives (creative portfolios and profile tools)
By accessing or using any Vascan product, creating an account, listing content, subscribing to a plan, or purchasing through the platform, you agree to be bound by these Terms.
About Vascan
Vascan is a digital platform building infrastructure for Africa's art ecosystem. Our services help:
- creatives present work professionally,
- businesses operate with structure and credibility, and
- collectors and art lovers discover art with greater confidence.
Different Vascan products may offer different features, workflows, and user permissions.
Eligibility and Acceptance
To use Vascan, you must:
- be legally capable of entering into a binding agreement under applicable law; and
- provide accurate and complete information when creating an account or using our services.
If you are using Vascan on behalf of a company, gallery, organisation, or other entity, you represent that you have authority to bind that entity to these Terms.
Definitions
For the purpose of these Terms:
- "Platform" means the Vascan website, applications, and related services.
- "User" means any person or entity using Vascan.
- "Content" means text, images, videos, audio, files, metadata, listings, profile information, and other material uploaded or submitted to Vascan.
- "User Content" means Content submitted by a User.
- "Business User" means a user of Vascan for Business.
- "Cre8ive User" means a user of Vascan for Cre8ives.
- "Shop Listing" means artwork or product content displayed through Vascan Shop.
- "Paid Services" means any subscription, premium feature, listing feature, transaction service, or paid tool available on Vascan.
Accounts and Account Security
Account Registration
Some features require an account. You agree to provide accurate registration information and keep it updated.
Credentials
You are responsible for maintaining the confidentiality of your login details and for all activity under your account.
Unauthorised Access
You must notify us promptly if you suspect unauthorised access to your account.
Account Types
We may offer different account types, permissions, or roles across products (e.g., creative accounts, business accounts, admin access), and features may vary accordingly.
Product-Specific Services
Vascan Shop
Vascan Shop enables discovery and presentation of artworks and may support commerce transactions (where enabled).
Listings and Information
Users responsible for listings must ensure that descriptions, images, pricing (where applicable), availability, and metadata are accurate and kept up to date.
Purchases and Checkout
Where checkout is enabled, purchases are subject to these Terms, including the Refunds & Returns provisions in Section 10.
Availability
Artwork availability, pricing, and listing status may change. Vascan does not guarantee that a listed item will remain available.
Vascan for Business
Vascan for Business supports galleries, art spaces, curators, and organisations in presenting programmes, events, artists, and related content.
Business Profiles and Programme Content
Business Users may create profiles and publish exhibitions, events, programmes, featured creatives, and related content.
Organisational Responsibility
Business Users are responsible for ensuring that all published information is accurate, lawful, and does not infringe third-party rights.
Team Access (if enabled)
Where team access is available, the account owner/admin is responsible for managing permissions and authorised use.
Vascan for Cre8ives
Vascan for Cre8ives supports creatives in building professional portfolios and profiles.
Portfolio Profiles
Cre8ive Users may create profiles and organise works into projects, collections, and other supported structures.
Visibility Controls
Cre8ive Users may be able to set content visibility (e.g., public, private, or shared by link), depending on features and plan level.
Professional Presentation
Cre8ives is designed to support portfolio presentation and discoverability; Vascan does not guarantee commissions, opportunities, sales, or collaborations.
User Content and Intellectual Property
Ownership of User Content
You retain ownership of the User Content you upload or submit to Vascan, subject to the rights granted in these Terms.
Licence to Vascan
By uploading or submitting User Content, you grant Vascan a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, transmit, and make available your User Content as reasonably necessary to:
- operate the Platform,
- provide Vascan products/services,
- improve functionality and user experience,
- and promote publicly visible profiles/listings/content within the Vascan ecosystem and related marketing materials (unless an opt-out is made available and exercised).
Your Responsibility for Rights
You represent and warrant that:
- you own your User Content or have all required rights/permissions;
- your User Content does not infringe third-party rights;
- your User Content complies with applicable law.
Vascan Intellectual Property
All rights in the Platform, including Vascan branding, logos, design, software, and original platform content (excluding User Content), are owned by Vascan or its licensors.
Acceptable Use Policy
You agree not to use Vascan to:
- upload or share unlawful, deceptive, defamatory, abusive, or harassing content;
- upload infringing content;
- impersonate another person/entity;
- interfere with platform operations or security;
- gain unauthorised access;
- scrape data using automated tools without written permission;
- distribute malware or harmful code;
- use the Platform in a way that harms other users or Vascan's operations.
We may remove content or restrict accounts that violate this section.
Content Moderation and Platform Rights
Vascan may (but is not obligated to) review, remove, restrict, or refuse content or accounts where we reasonably believe there is: a breach of these Terms, legal risk, security risk, platform abuse, harmful or misleading conduct.
We may suspend features temporarily for maintenance, upgrades, or incident response.
Fees, Billing, and Payments (Including Subscription Billing Policy)
Paid Services
Some Vascan features require payment (e.g., subscriptions, premium tools, listings, or transaction services). Pricing will be shown at the point of purchase or on relevant plan pages.
Subscription Billing
Where subscriptions are offered (including but not limited to Vascan for Business and Vascan for Cre8ives):
- billing cycle (monthly/annual) and plan pricing will be disclosed before purchase;
- subscriptions may renew automatically unless otherwise stated;
- by subscribing, you authorise Vascan (or its payment processor) to charge the applicable recurring fees on the billing date.
Plan Changes
If you upgrade or downgrade a plan: changes may take effect immediately or at the next billing cycle, depending on the product workflow; any prorated charges or credits (if supported) will be disclosed in-product or at checkout.
Failed or Late Payments
If payment fails:
- we may retry the payment method;
- we may suspend access to paid features;
- we may restrict certain account functions until payment is successful.
Cancellation of Subscriptions
You may cancel a subscription at any time through your account settings (where available) or by contacting support. Unless otherwise stated:
- cancellation stops future renewals;
- you retain access to paid features until the end of the current billing period;
- fees already paid are non-refundable except where required by law or expressly stated in these Terms.
Taxes
Fees may exclude applicable taxes, duties, and levies unless otherwise stated.
Third-Party Payment Providers
Payments may be processed by third-party providers, and their terms/policies may also apply.
Refunds, Returns, and Cancellations (Including Shop Refunds & Returns Policy)
General Principle
Refunds, returns, and cancellations depend on the product/service type (e.g., digital subscription vs. Shop transaction) and the applicable law.
Vascan for Cre8ives and Vascan for Business (Digital Services)
Unless otherwise stated at checkout or required by law:
- subscription fees and digital service payments are non-refundable once billed;
- cancelling a subscription prevents future renewals but does not automatically trigger a refund for the current billing period;
- where Vascan determines there was a duplicate charge, billing error, or unauthorised transaction (subject to review), we may issue a refund or credit at our discretion.
Vascan Shop (Artworks / Commerce Transactions)
Where Vascan Shop supports transactions:
- return and refund eligibility may depend on the nature of the item, seller terms (if applicable), item condition, and fulfilment status;
- unless otherwise stated, requests for return/refund should be made within a minimum of 5–7 days of delivery/receipt;
- returned items must generally be unused/undamaged and in the condition received, unless the return is due to damage, defect, or wrong item;
- custom, commissioned, made-to-order, or clearly disclosed final-sale items may be non-refundable.
10.4 Damaged, Defective, or Incorrect Items (Shop)
If you receive an item that is damaged, defective, or materially different from the listing:
- contact Vascan support at info@vascan.io within 24 hours;
- provide order details and clear supporting evidence (e.g., photos/videos);
- Vascan may review and facilitate a replacement, return, refund, or other resolution depending on the case.
Chargebacks
Before initiating a chargeback, you agree to contact Vascan support first to attempt resolution. Vascan reserves the right to suspend accounts where chargeback abuse or fraud is suspected.
Refund Method and Timing
Approved refunds (where applicable) will be processed via the original payment method, unless otherwise agreed, and may take additional time depending on the payment provider.
Privacy and Data Protection
Your use of Vascan is also governed by our Privacy Policy and Cookie Policy. Please review those policies to understand how we collect, use, and protect your information.
Third-Party Services and Links
Vascan may integrate with or link to third-party services (e.g., payment processors, analytics tools, email services, social platforms). We are not responsible for third-party services, content, or policies. Your use of third-party services is subject to their terms.
Content and IP Complaints (Including Content/IP Policy)
Respect for Intellectual Property
Vascan respects intellectual property rights and expects users to do the same. Users must not upload or publish content they do not own or have permission to use.
Reporting Infringing Content
If you believe content on Vascan infringes your copyright, trademark, or other rights, you may send a notice to info@vascan.io with:
- your full name and contact information;
- identification of the work/right claimed to be infringed;
- the URL or location of the allegedly infringing content on Vascan;
- a description of the complaint;
- a statement that you have a good-faith belief the use is not authorised;
- a statement that the information provided is accurate and that you are the rights holder or authorised to act on their behalf.
Vascan Response to Complaints
Upon receiving a valid complaint, Vascan may:
- review the reported content;
- request more information;
- temporarily restrict or remove content;
- notify the affected user;
- suspend repeat infringers or abusive users.
Counter-Notice (Optional Process)
If your content is removed due to an IP complaint and you believe it was removed in error, you may submit a counter-notice to info@vascan.io with relevant information supporting your rights or permission to use the content. Vascan may review and decide whether to restore the content.
Repeated Infringement
Vascan reserves the right to suspend or terminate accounts involved in repeated infringement or repeated abusive complaints.
Availability, Performance, and Changes
We aim to provide a reliable platform but do not guarantee uninterrupted or error-free operation.
We may: change, improve, suspend, or discontinue features; update UI, workflows, or pricing; introduce new plans or limits.
Where practical, we will provide notice for material changes.
Disclaimers
To the maximum extent permitted by law, Vascan is provided on an "as is" and "as available" basis.
Vascan does not guarantee: uninterrupted access, error-free functionality, specific commercial results (sales, commissions, partnerships, opportunities), or that the platform will meet every user's requirements at all times.
Users are responsible for how they use the Platform and for backing up important content where appropriate.
Limitation of Liability
To the maximum extent permitted by law:
Vascan shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, business opportunities, or reputation.
Vascan's total aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed: the amount you paid to Vascan in the one (1) month(s) before the event giving rise to the claim, or NGN 10,000, whichever is higher.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnity
You agree to indemnify, defend, and hold harmless Vascan, its directors, officers, employees, and affiliates from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your User Content, your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party rights.
Suspension and Termination
By You
You may stop using Vascan at any time. Where account deletion is available, you may request deletion subject to legal and operational retention requirements.
By Vascan
We may suspend or terminate your account or access if: you breach these Terms, we are required to do so by law, your conduct creates legal or security risk, or your use materially disrupts the Platform or other users.
Effect of Termination
Upon termination: your right to use the relevant service ends, we may disable access to content and features, certain provisions survive (including IP, liability, indemnity, payment obligations, and dispute resolution).
Confidentiality (Where Applicable)
If you access non-public information through Vascan (including private rooms, restricted content, internal programme data, or confidential materials), you agree not to disclose or misuse such information without authorisation.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to these Terms or your use of Vascan shall be resolved as follows: Good-faith negotiation; Mediation; If unresolved, binding arbitration in Lagos State, Nigeria, in accordance with the Arbitration and Mediation Act, 2023.
Each party shall bear its own costs unless otherwise determined by the arbitrator(s) or required by law.
Force Majeure
Vascan shall not be liable for delay or failure to perform due to causes beyond our reasonable control, including natural disasters, internet outages, war, civil unrest, labour disputes, government action, or system failures.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
Vascan may assign or transfer its rights and obligations under these Terms as part of a reorganisation, merger, acquisition, or sale of assets.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date and may provide additional notice (e.g., website notice or email). Your continued use of Vascan after changes take effect constitutes acceptance of the updated Terms.
Entire Agreement
These Terms, together with any applicable pricing terms and policies referenced in them (including Privacy Policy and Cookie Policy), constitute the entire agreement between you and Vascan regarding your use of the Platform and supersede prior agreements or understandings on the same subject matter.
